Terms of Service

These Terms of Service (“Terms”) govern your use of all services and platforms operated by BSAPH Holding Company (“BSAPH”, “we”, “us”, or “our”), including MotorFile, Crave, Forecourt, ProWrench, QiblaFlow, BSA Axiom, and BSA Forge, and any client sites powered by our infrastructure.

By accessing or using any BSAPH service you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Eligibility

You must be at least 18 years old to create a BSAPH Account or make purchases on any BSAPH platform. By using our services, you represent and warrant that you meet this requirement and that any information you provide is accurate and complete.

2. BSAPH Account

• One BSAPH Account grants access to all BSAPH platforms under the same identity.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must notify us immediately at [email protected] of any suspected unauthorised access.
• We reserve the right to suspend or terminate accounts that violate these Terms.
• You may link third-party providers (Google, Apple) to your account. Disconnecting a provider is allowed unless it is your sole login method.

3. Acceptable Use

You agree not to:

• Use our platforms for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorised access to any BSAPH system, server, or database.
• Scrape, crawl, or systematically extract data from any BSAPH service without written permission.
• Submit false, misleading, or fraudulent information (including vehicle listings, menu items, or service records).
• Reverse engineer, decompile, or disassemble any part of the BSAPH platform.
• Upload or transmit malware, viruses, or any harmful code.
• Impersonate any person or entity or misrepresent your affiliation.
• Use BSAPH infrastructure to send spam or unsolicited communications.

4. Payments & Commerce

• All payments are processed securely by Stripe. BSAPH does not store payment card details.
• Prices displayed are inclusive of applicable VAT unless stated otherwise.
• All prices and calculations are determined server-side. Client-side displayed prices are for reference only.
• Where a merchant (e.g., restaurant or dealer) uses BSAPH infrastructure, that merchant is the seller of record for their products. BSAPH is not responsible for the quality, safety, or fulfilment of third-party goods or services.
• Refunds are handled per the individual merchant's refund policy. BSAPH may facilitate dispute resolution but does not guarantee refunds for third-party transactions.
• Subscription plans are billed in advance and are non-refundable except where required by law.

5. Vehicle Data & MotorFile

• Vehicle history data is sourced from DVLA, DVSA, and mechanic-submitted ProWrench records. We cannot guarantee the accuracy or completeness of third-party data sources.
• MotorFile reports are for informational purposes only. They do not constitute a guarantee of vehicle condition, legal ownership, or financial history.
• Premium reports (HPI-style checks) are non-refundable once accessed.
• You must have legal authority over a vehicle (current keeper or owner) before claiming it to your BSAPH Account.

6. Multi-Tenant Client Sites

BSAPH powers websites and ordering systems for third-party businesses (“clients”) via BSA Forge and the Site Engine. These client sites are operated by the respective business. BSAPH provides the infrastructure platform only. Each client is independently responsible for:

• The accuracy of their menus, listings, and pricing.
• Food hygiene, allergen compliance, and trading standards.
• Their own terms of service with their end-customers.
• Compliance with their relevant sector regulations (e.g., FCA for finance, FSA for food).

7. Intellectual Property

All BSAPH platform code, designs, trademarks, and brand assets are the exclusive property of BSAPH Holding Company. You are granted a limited, non-exclusive, revocable licence to use our platforms for their intended purpose. You may not copy, distribute, or create derivative works from any BSAPH intellectual property without written consent.

Content you upload (e.g., vehicle photos, menu images) remains your property. By uploading, you grant BSAPH a worldwide, royalty-free licence to display and process that content to provide the service.

8. Disclaimers & Limitation of Liability

Our platforms are provided “as is” and “as available”. To the fullest extent permitted by UK law, BSAPH disclaims all warranties, express or implied. We do not guarantee uninterrupted, error-free operation.

BSAPH's total aggregate liability to you for any claim arising out of these Terms or the use of our services shall not exceed the greater of £100 or the amount you paid to BSAPH in the 12 months preceding the claim. Nothing in these Terms limits liability for death, personal injury, or fraud caused by our negligence.

9. Termination

You may delete your BSAPH Account at any time via account settings. We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if required by law. Upon termination, your right to use BSAPH services ceases immediately. Data retention post-termination is governed by our Privacy Policy.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to your statutory consumer rights.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice at least 14 days before they take effect. Continued use of our services after the effective date constitutes acceptance of the revised Terms.
